1. Introduction

These Terms and Conditions (“Terms”) govern your access to and use of Black Tango Intelligence (“BTi”), a product operated by Black Tango LTD, a company registered in England and Wales, Company Number 11749005, with registered office at 167–169 Great Portland Street, London, England, W1W 5PF.

By accessing or using BTi, you agree to be bound by these Terms. If you do not agree, you must not use the platform.

2. Service Description

BTi is a subscription-based software platform providing:

• Market intelligence;
• Financial data analytics;
• AI-generated analysis;
• Investment research tools;
• Portfolio analysis and monitoring tools;
• Systematic model monitoring and theoretical simulations.

BTi is provided for informational, analytical and decision-support purposes only.

BTi does not provide investment advice, financial advice, tax advice, legal advice, brokerage services, portfolio management or trade execution.

3. Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding contract. You are responsible for ensuring that your use of BTi is lawful in your jurisdiction.

4. Account Registration

To access BTi, you may be required to create an account. You agree to:

• Provide accurate and complete information;
• Keep your credentials secure;
• Not share your account with others;
• Not create multiple accounts to bypass limitations or restrictions.

You are fully responsible for all activity under your account.

5. Subscriptions and Payments

BTi operates on a subscription basis. Plans may include monthly, quarterly, annual or corporate options. Payments may be processed by third-party providers such as Stripe.

• Pricing may change at any time;
• Subscriptions may renew automatically unless cancelled;
• You are responsible for maintaining valid payment details;
• Access may be suspended if payment fails.

5.1 Cancellation

You may cancel your subscription at any time. Cancellation normally takes effect at the end of the current billing cycle, unless otherwise stated at the point of purchase.

6. Refund Policy

You may be entitled to a full refund within 7 days of your initial subscription where a money-back guarantee is expressly offered. After 7 days, no refunds are provided unless required by law or agreed by BTi at its sole discretion.

If your account is terminated by BTi for breach of these Terms, BTi may issue a pro-rata refund for any unused portion of the subscription at its sole discretion.

7. Permitted Use

Unless otherwise agreed in writing, BTi is provided for personal, non-commercial use only. You may not:

• Copy, reproduce, redistribute or republish BTi content;
• Resell, sublicense or commercially exploit the platform or its outputs;
• Use BTi to provide services to third parties;
• Publish BTi outputs in newsletters, social media, courses, paid content or other commercial material;
• Scrape, extract, harvest or bulk-download data;
• Reverse engineer or attempt to replicate the platform;
• Use automated systems or bots to access BTi.

8. Prohibited Conduct

BTi may suspend or terminate your account if you:

• Violate these Terms;
• Engage in fraudulent, abusive or unlawful activity;
• Attempt to bypass system limitations;
• Perform scraping or data extraction;
• Share accounts;
• Initiate abusive chargebacks;
• Interfere with the platform’s integrity, security or availability.

9. AI and Data Disclaimer

BTi uses artificial intelligence and third-party data sources. Outputs may be inaccurate, incomplete, delayed, outdated or misleading. AI-generated content may contain errors. You are solely responsible for verifying any information before relying on it.

10. No Advice Disclaimer

All content provided by BTi is for informational purposes only. BTi does not recommend specific investments, provide personalised advice, act as an advisor or fiduciary, or make any solicitation or offer to buy or sell securities, funds, derivatives, crypto-assets or any other financial instruments.

Any decisions you make are entirely your responsibility.

11. Financial Risk Disclosure

Financial markets involve risk. You may lose part or all of your capital. Past performance does not guarantee future results. You should not rely solely on BTi when making any financial decision. BTi is a research and analytics tool only.

12. Platform Availability

BTi may modify, update, suspend or discontinue the platform or any feature at any time. The platform may experience downtime, interruptions, delays, errors or data issues. We do not guarantee continuous or error-free operation.

13. Intellectual Property

All rights in BTi are owned by Black Tango LTD or its licensors, including software, platform architecture, algorithms, scoring systems, AI logic, data structures, outputs, branding, design and content. No rights are granted except for a limited, non-transferable licence to use the platform in accordance with these Terms.

14. User Feedback and Testimonials

By submitting feedback, reviews or testimonials, you grant BTi a non-exclusive, worldwide, royalty-free licence to use, reproduce and publish such content for marketing and business purposes, unless otherwise agreed in writing.

15. Changes to the Terms

We may update these Terms at any time. Continued use of BTi after changes have been published constitutes acceptance of the updated Terms.

16. Limitation of Liability

To the maximum extent permitted by law, BTi is provided “as is” and “as available”. We make no warranties regarding accuracy, reliability, completeness, availability or fitness for purpose. We are not liable for any losses, including financial losses, arising from your use of the platform. Your use of BTi is entirely at your own risk.

17. Termination

We may suspend or terminate your account at any time if you breach these Terms. You may stop using BTi at any time by cancelling your subscription.

18. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of London, United Kingdom.
